Terms of Service

OVERVIEW

Canopy Season (canopyseason.com) is owned and operated by OddBurton, LLC, a Washington limited liability company. "We," "us," and "our" mean OddBurton, LLC doing business as Canopy Season. "You" means anyone who visits the site, creates an account, subscribes, buys something, advertises, or submits content.

The "Service" is everything we offer through the site: the event directory, free Member accounts, the Pro subscription, the cost calculator and planning tools (Shortlist, Season Ledger, application tracking), state database downloads, advertising placements, and ad design.

By using the Service you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you don't agree, please don't use the Service.

SECTION 1 - ELIGIBILITY

You must be at least 18, or the age of majority where you live, to create an account or buy anything. If you let a minor use the site, you're responsible for their use of it.

You may not use the Service for anything illegal or unauthorized, or transmit viruses or other destructive code.

SECTION 2 - YOUR ACCOUNT

  • One person per account. Give us accurate information and keep your email current — deadline reminders, receipts, and account notices go there.
  • Keep your password to yourself. You're responsible for activity on your account.
  • Don't share a Pro account or its data with people who haven't paid for it.

SECTION 3 - WHAT THE DIRECTORY IS — AND ISN'T

Canopy Season is an independent directory. We are not affiliated with the events we list, we don't run them, and we can't get you accepted.

Where listings come from. Event information is compiled from organizers, public sources, and our own research, and is checked by hand state by state. Some states are fully verified; others are still being worked through. We say which is which on the site.

Dates on listings. A date shown on a listing — such as "Links checked" or a state's verification date — records when we checked what that label describes. It doesn't mean every detail on the listing, or on the site, was updated at that time.

Confirm before you commit. Organizers change dates, fees, deadlines, and application platforms without notice. Before you apply, pay a fee, or travel, confirm the details with the organizer. Decisions you make based on the Service are yours.

Applications and payments to organizers happen on the organizer's own system. We don't submit applications for you, don't process booth fees, and aren't responsible for an organizer's conduct, cancellations, or refunds.

Corrections. If something is wrong, use "Report an issue" on the listing. We may correct, change, or remove any listing at any time.

SECTION 4 - FREE AND PRO PLANS

Free. Anyone can browse listings and use the cost calculator. A free Member account adds saved events, deadline reminders for saved events, organizer websites, attendance estimates, reading full vendor reviews, and calendar export.

Pro. Pro adds the details and tools described on the pricing page, currently including application links, organizer contacts, booth and application fees, payment due dates, writing reviews, the Shortlist, and the Season Ledger. What each plan includes may change over time; the pricing page is the current list.

Billing. Pro is billed monthly or annually, in advance, through Stripe. Your subscription renews automatically at the end of each billing period until you cancel. For annual plans, we email you before each renewal with the date and the amount.

Cancelling. Cancel anytime from your account page or the billing portal. Cancelling stops the next renewal; you keep Pro until the end of the period you've paid for. You can undo a cancellation before the period ends.

Refunds. Payments for a subscription period aren't refunded, in whole or in part, including if you cancel partway through a period or close your account.

Switching plans. Moving from monthly to annual charges the prorated difference right away. Moving from annual to monthly credits the unused portion to your account balance, which pays toward future Pro bills; it isn't refunded to your card.

Failed payments. If a renewal payment fails, we'll email you and our payment processor will retry. Pro may continue while the payment is being retried. If it isn't recovered, your subscription ends and your account returns to the free plan.

Price changes. We may change Pro prices. A change won't apply to a period you've already paid for, and we'll email you before a new price applies to your renewal.

Founding member rate. If you subscribed at a founding rate, you keep that rate — including if you switch between monthly and annual — for as long as your subscription stays continuously active. If it ends, because you cancel, close your account, or a payment isn't recovered, and you subscribe again later, the price at that time applies.

Promotions and bundled Pro. Promo codes, and free Pro included with a state database purchase, apply as described when you get them. Bundled Pro is one-time, lasts the stated number of months, and ends at the end of that time unless you subscribe.

Taxes. Prices don't include taxes. If we're required to collect tax, it will be added at checkout.

SECTION 5 - SERVICES AND PRICING

Our services — directory listings, the Pro subscription, advertising placements, design services, and state event databases delivered as data files (databases, datasets, CSV exports, and other downloads) — are available through the website. We've tried to describe them accurately.

We may change, suspend, or discontinue any part of the Service, and may limit availability to any person or region. Any offer is void where prohibited.

SECTION 6 — STATE DATABASES AND DATA DOWNLOADS

What you receive. A state database purchase is a one-time purchase of a data file — provided as a CSV or other downloadable export — containing event records for a single state as they exist in our database at the time the file is generated. Access is delivered electronically through your account immediately on payment.

Point-in-time snapshot. Each file is a snapshot. Event details change continuously, and we are under no obligation to update, correct, or re-issue a file after it has been generated or downloaded. Updated versions of a state database, where offered, are a separate purchase and no purchase entitles you to any future version.

Provided as-is. Databases, datasets, CSV exports, and downloads are provided "as is" and "as available," without warranty of any kind, express or implied, including any warranty of accuracy, completeness, currency, merchantability, or fitness for a particular purpose. We do not warrant that any record is accurate or complete, that any event will occur as described, or that any application deadline, booth fee, contact, or link is current.

Independent verification. Event information is compiled from event organizers and other third-party and public sources. You are responsible for confirming details directly with the event organizer before relying on them, and in particular before submitting an application, paying a fee, or committing to attend. Any decision you make on the basis of a data file is made at your own risk.

All sales final. Because data files are delivered immediately and are retained by you, all state database purchases are final and non-refundable. This paragraph does not apply to ad design services, which are governed by Section 7.

Permitted use. Your purchase grants you a non-exclusive, non-transferable licence to use the data for your own internal business purposes. You may not resell, redistribute, sublicense, publish, or make the data available to any third party, in whole or in part, whether in its original form or as part of a derivative or aggregated product, without our prior written permission.

SECTION 7 - AD DESIGN SERVICES — Client Participation & Refund Policy

Design services purchased through the ad-booking flow require active client participation to fulfill. Banner design cannot begin until the client supplies the required materials.

Asset submission. After purchase, the client must submit all required assets — header copy, offer copy, subtext, and any imagery they want included — to design [at] canopyseason.com within 7 days of the payment date. The required asset list and submission instructions are sent by email immediately after payment. The submission deadline is satisfied only when complete and usable assets are received. Partial, incomplete, or unusable submissions do not satisfy the deadline, and we will notify the client of what remains outstanding.

Our delivery and the revision round. Once complete assets are received, we will deliver a first design proof within five (5) business days. The design fee includes one round of revisions. Revision requests must be submitted within five (5) business days of proof delivery. If no revision request is received within that period, the design is deemed approved. Additional revisions beyond the included round are billed at $150/hour and must be paid before further work proceeds.

Campaign start. Because the banner must be designed before the ad can run, the start date selected at checkout is an earliest start date, not a guaranteed one. The campaign window begins when the finished banner is approved and goes live, on or after the selected date, and the full purchased duration counts from that go-live date.

Ownership and portfolio use. Upon full payment, the client receives a license to use the finished banner for the purchased ad placement and for the client's own marketing purposes. We retain ownership of the underlying design and the right to display the completed work as a sample of our design services (for example, in a portfolio), without disclosing confidential business details.

Non-completion and refunds. If the client does not submit complete assets within 7 days of purchase, the design fee is non-refundable and the design order is forfeited. Any ad placement purchased alongside the design service remains valid for its booked window and is unaffected by design-fee forfeiture, subject to the advertising terms below. This policy exists because design work cannot be performed without client-supplied materials, and is disclosed at the point of purchase and in the post-payment confirmation email.

SECTION 8 - ADVERTISING TERMS

These terms govern the purchase and display of advertising placements ("Ads") on the Canopy Season website.

Advertising never affects how events are listed, ordered, or reviewed. Organizers can't pay for placement in search results.

Review and approval. All Ads are subject to our review and approval before going live. We reserve the right, in our sole discretion, to approve, reject, or remove any Ad creative or click-destination URL for any reason. A purchased placement is not guaranteed to run until the Ad has been approved and set live. Selected start dates are targets and are not guaranteed; an Ad's campaign window begins when the Ad goes live.

Acceptable content. Advertisers are solely responsible for the content of their Ads and the destinations they link to. Ads must not: (a) be false, misleading, or deceptive; (b) promote illegal products, services, or activity; (c) infringe any third party's intellectual property or other rights; (d) contain malware, or link to harmful or deceptive sites; (e) defame, harass, or discriminate; (f) attempt to defraud, scam, or mislead our vendors or users; or (g) be obscene or otherwise objectionable in our sole judgment. We may reject or remove any Ad that violates these standards at any time, without refund where the violation is the advertiser's fault.

Advertiser warranties and indemnification. By purchasing an Ad, the advertiser represents and warrants that it owns or has the rights to all creative, text, imagery, trademarks, and other materials in the Ad and at its linked destination, and that the Ad complies with all applicable laws. The advertiser agrees to indemnify, defend, and hold harmless Canopy Season and OddBurton, LLC from any claim, demand, or damages, including reasonable attorneys' fees, arising from its Ad, its linked content, or its products and services.

No liability for advertiser offers. Ads on our site reflect the advertiser's own products, services, and claims, not ours. We do not endorse and are not responsible for any advertiser's products, services, offers, or representations. Any transaction between a user and an advertiser is solely between those parties.

Placement, availability, and performance. Ad placements are sold on a first-come basis and specific positions, dates, or exclusivity are not guaranteed unless expressly agreed in writing. We do not guarantee any level of impressions, clicks, traffic, or results from any Ad.

Cancellations and refunds. A purchase may include two separately refundable components — the ad placement fee and, where purchased, the design fee — each governed by its own rule. The ad placement fee is fully refundable if the placement is cancelled before the Ad goes live; once the Ad has gone live, the placement fee is non-refundable and no refund is provided for unused time, whether the advertiser cancels or the Ad is removed for violating these terms. The design fee is refundable only until design work begins; design work is considered begun once we have received the client's submitted assets, after which the design fee is non-refundable regardless of whether the Ad goes live. The design fee is also non-refundable if it is forfeited under the non-completion rule in Section 7. Because these components are governed separately, a single cancellation may result in a refund of one component but not the other — for example, an ad placement cancelled before going live will be refunded even if the design fee has already been earned and is non-refundable.

Pricing changes. Ad pricing is subject to change at any time. Changes do not affect the price of placements already purchased and paid for, which are honored for their booked window.

SECTION 9 - VENDOR REVIEWS

  • Writing reviews requires Pro. One review per event, about an event you worked as a vendor.
  • Follow the Review Guidelines. In particular, never name individual staff members.
  • Reviews appear under your display nickname, or your first name and last initial if you haven't set one.
  • We never edit the words of a review. We may remove a review that breaks these Terms or the Review Guidelines, and we don't remove reviews because an organizer asks us to.
  • You can edit your review while you have Pro. To remove a review, contact us.
  • License. You keep ownership of your review. You give us a worldwide, royalty-free, non-exclusive, perpetual license to display, store, and reproduce it (including a short excerpt) on the Service. Reviews stay published after you cancel Pro or close your account unless you ask us to remove them.
  • You're responsible for what you write. It must be your honest, firsthand experience.

SECTION 10 - SUGGESTIONS, REPORTS, AND FEEDBACK

If you suggest an event, report an issue, or send us ideas, we may use that information to build and improve the Service without paying you or keeping it confidential. Don't submit anything you don't have the right to share.

SECTION 11 - SHARED LINKS

Some features create public links, such as a shared Shortlist. Anyone with the link can see what it shows — for a Shortlist, event names, places, and dates, never your fees or cost scenarios. Share links don't expire.

SECTION 12 - CLOSING YOUR ACCOUNT

You can close your account from your account page. When you confirm:

  • Any Pro subscription is cancelled immediately, without a refund for the remaining period.
  • You're signed out everywhere, and you have 30 days to undo the closure from the link we email you. Undoing it restores your account but not the cancelled subscription.
  • After 30 days, your account is permanently closed: we remove your email address and sign-in details and delete your saved cost scenarios. We keep records we need for legal, tax, and accounting reasons (such as purchase records), and your published reviews stay up under the name shown on them unless you ask us to remove them.

SECTION 13 - ACCEPTABLE USE

Don't use the Service or its content to: break the law; infringe anyone's rights; harass, abuse, or discriminate; submit false or misleading information; upload malicious code; collect other people's personal information; spam or phish; scrape, crawl, spider, or bulk-copy listings or reviews; or get around our security or paywall. We may suspend or end access for violations.

SECTION 14 - THIRD-PARTY SITES AND TOOLS

Listings link to organizer websites and application platforms we don't control (such as Zapplication, EventEny, and Google Forms). Payments are processed by Stripe. We aren't responsible for third-party sites, their content, or transactions you make with them; their own terms apply.

SECTION 15 - PRIVACY

How we handle personal information is described in our Privacy Policy.

SECTION 16 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We don't guarantee the Service will be uninterrupted, timely, secure, or error-free, or that results from it will be accurate or reliable. Except as expressly stated in these Terms, the Service and everything delivered through it are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent the law allows, OddBurton, LLC and its members, employees, contractors, and service providers aren't liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service or any listing — including an event that is cancelled, changed, or not as described. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Some places don't allow these limits, so they apply to you only as far as the law permits.

SECTION 17 - INDEMNIFICATION

You agree to defend and indemnify OddBurton, LLC and its members, employees, contractors, and service providers against third-party claims, including reasonable attorneys' fees, arising from your breach of these Terms, your content (including reviews and ads), or your violation of any law or anyone's rights.

SECTION 18 - TERMINATION

You can stop using the Service at any time. We may suspend or end your access if we reasonably believe you've broken these Terms. Obligations incurred before termination survive it.

SECTION 19 - CHANGES TO THESE TERMS

We may update these Terms. We'll post the new version here with a new effective date, and for material changes we'll email account holders before they take effect. Continuing to use the Service after that means you accept the updated Terms.

SECTION 20 - GENERAL

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 21 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
